Contract clauses that survive a status review
Paper that matches the working week is more persuasive than paper that wishes the week were different.
Clause clinic learners often arrive with beautiful independence language and a Slack rhythm that looks like employment. German classification conversations care about both. Here is what we keep rewriting.
Milestone acceptance over presence
Define deliverables, review windows, and rejection criteria. Avoid “must be online 09:00–18:00” unless the project truly requires synchronized coverage—and if it does, document why that is not a staff shift.
Substitution that is real
A clause granting substitution rights only helps if you can name how substitution would work operationally: notice, qualifications, confidentiality, and client consent rules that are not a disguised veto of all independence.
Tools with an expiry note
When a client laptop or email is unavoidable, write the purpose and the end condition. Silence invites the assumption that you are simply another seat in the org chart.
What clauses cannot do
A sentence that says “the parties agree this is not employment” does not override months of subordinate practice. We treat such sentences as reminders, never as shields.
